Financial Restructuring
We provide a complete financial restructuring service advising on refinancings, consensual and non-consensual workouts and the tactical use of formal insolvency proceedings (including company voluntary arrangements, transfer schemes and "pre-packaged" solutions). In a changing restructuring market, our lawyers are fully equipped to deal with the issues which are arising out of the increasingly complex leveraged financial structures.
Formal Insolvency Regimes
We advise creditors and debtors upon the commencement of formal insolvency proceedings, advise third parties on their monetary and proprietary claims (including issues such as the enforcement of security, set-off, retention of title and conversion) and act for insolvency practitioners on all aspects of their appointment as office holders. Expertise in this field includes out-of-court and court appointed administrations, company voluntary arrangements, receiverships, provisional liquidations, liquidations and schemes or arrangement.
Contentious Insolvency
We are one of the most experienced in the City on contentious insolvency matters (particularly complex, cutting edge and technical cases). Areas of expertise include injunctive remedies, vulnerable transactions (preferences, undervalue transactions and transactions of defrauding creditors), asset tracing and recovery, fraud, breach of trust, claims against third parties (wrongful trading, fraudulent trading and breach of duty), competing claims to the ownership of assets and contested proofs of debt.
Solvent Group Reorganisations
We regularly advise corporate clients on solvent group reorganisations, including the use of members' voluntary liquidations, schemes of arrangement, company voluntary arrangements and corporate restructurings.
Restructuring Structured Products
In response to recent credit market dislocation, Mayer Brown was one of the first firms to establish a Global Financial Markets Initiative (bringing together expertise in restructuring and insolvency, structured finance, debt and equity capital markets, private equity, tax, litigation, financial services regulatory and derivatives) in order to advise clients on the restructuring of CMBS and RMBS finance vehicles and other issues arising from the dislocation in the credit markets. |
