Experience 

Jennifer Fox is a barrister who advises on both contentious and non-contentious restructuring and insolvency matters for a wide range of clients.  She has advised receivers, lenders and other parties with interests in SIVs and structured financial vehicles on insolvency and restructuring issues stemming from the sub-prime crisis.

As part of the Restructuring, Bankruptcy and Insolvency group, Jennifer has advised on insolvency risks in the context of many industries, including pensions, the financial markets and insurance.  Not only does her experience cover various industries but Jennifer has encountered, on a regular basis, transactions involving insolvency risks in a number of jurisdictions both within Europe and the United States.

Jennifer joined Mayer Brown in 2007 after a year with a well-known set of Chambers of English Barristers focusing in insolvency and commercial law.  During her academic career, she received a variety of awards and honours, including the Sir Thomas More Award (2004), the Hardwicke Scholarship (2002), and the John Humphries Award for Endeavour (1999).

Notable Engagements 

  • Acting for the receivers of Golden Key Ltd (in receivership), a SIV which was funded by commercial paper.
  • Acting for the liquidity providers to Cheyne Finance Plc (the first SIV to go into receivership) in respect of the restructuring of the vehicle.
  • Advising on the proposed Master-Liquidity Enhancement Conduit (the superfund) designed to alleviate the impact of the credit crunch.
  • Restructuring RMBS/CMBS finance vehicles.
  • Advising numerous financial institutions and other clients in relation to key issues arising from their exposure to UK entities in the Lehman group and the Icelandic banks.
  • In conjunction with our colleagues in Asia, acting for the provisional liquidators of Lehman Brothers Commercial Corporation Asia Limited.
  • Advising EMI/Terra Firma in relation to a refinancing involving a whole business securitisation of EMI's publishing revenues, security in connection with acquisition finance and corporate restructuring.
  • Advising the Trustees of the P&O pension scheme on a high-profile, ground-breaking buy-in deal with Paternoster. In particular on aspects of the transaction structure involving insolvency risk mitigation.
  • Advising the liquidator of an Australian company on a potential application under s426 Insolvency Act 1986.
  • Advised on various proposed restructurings involving companies with pension deficit liabilities including through deploying a company voluntary arrangements.
