- Case/Uzbekistan. Advised Case Corporation in connection with the financing by the International Finance Corporation of certain joint ventures to assemble, manufacture, lease and service agricultural equipment in Uzbekistan.
- Caterpillar/Solar Turbine. Represented Westpac Banking Corporation (as credit enhancement provider) in a tax-exempt financing of industrial gas turbines and compressors.
- Chile Greenfield Port. Advised Inter-American Development Bank as lender to Complejo Portuario de Mejillones S.A. in connection with the construction of a greenfield port in Chile for the Codelco Mining Concern.
- Chkalov Aircraft Production Facility. Advised Allied Signal and US Trade and Development Agency in the structuring of the partial privatization of aircraft production facility in Uzbekistan.
- Coke Processing Facility. Advise client regarding development and financing of coke processing and transloading facility in Chicago.
- Comiskey Park/Soldier Field. Represented Illinois Sports Facilities Authority on all aspects of the financing and development of the Comiskey Park stadium and a $600 million construction/renovation program for Soldier Field.
- Del-Tin Fiber. Represented First Chicago (as agent and lender) in $101 million project financing of a medium density fiberboard plant.
- Duke Energy. Advised client in the development, financing and permitting of independent power generating plants in the Chicago metropolitan area.
- East Asian Construction Joint Ventures. Represented Companie Générale d'Immobilier et de Services in the creation of five construction joint ventures in the Philippines, Thailand, Malaysia, Indonesia and Vietnam.
- EBRD/Uzbek Textiles. Advised European Bank for Reconstruction and Development in connection with an equity and debt investment in a textiles joint venture in Uzbekistan.
- Egypt Ammonia. Represented Export-Import Bank of the United States in 1,850 metric ton per day anhydrous ammonia plant to be located in Suez, Egypt, fueled by natural gas.
- Emerald Ethanol. Represented sponsor/developer in the development and financing of four 100 million-gallon-per-year ethanol projects with a total value of approximately $650 million.
- Equatorial Guinea Port. Represented sponsor/developer client in connection with the development and financing of a $800 million greenfield project financing involving a private port, oil terminal facilities, airfield and related infrastructure in Equatorial Guinea.
- Eurotunnel. Advising the sponsors and developers of the Eurotunnel project financing, including with regard to the associated bond financing.
- FDI Advisory Mission. Represented Foreign Investment Advisory Service (F.I.A.S.) of IFC and The World Bank in program to provide legal advice to the governments of Benin, Burkina Faso, Cote D'Ivoire, and Mali to promote foreign direct investment in public infrastructure and services.
- FertiNitro. Advised rating agency regarding $250 million project financing of Venezuelan fertilizer plant.
- First Energy Corporation. Project counsel in the development, design, construction and financing of a $150 million circulating fluidized bed (CFB) boiler that is fired by petroleum coke and that generates approximately 2.2 million pounds of steam per hour.
- Fitch/Duff & Phelps Credit Rating Co.. Represented Fitch/DCR in ratings of numerous infrastructure and industrial project financings, including refinery upgrades, water treatment facilities and airport improvements.
- Galvex/CIS. Represented Galvex in a $100 million galvanized steel project in the CIS.
- German Airports. Advised separate bidding consortia on proposed airport privatizations in each of Düsseldorf, Hanover, Berlin and Hamburg.
- Hotel Uzbekistan. Advised Malayan Banking Berhad in connection with a $13.5 million loan to finance the acquisition of the Hotel Uzbekistan.
- IIRSA Sur Toll Road. Represented Merrill Lynch & Co., as issuer, arranger and initial purchaser, in a Rule 144A/Reg S $1.2 billion offering of pass-through notes supported by payments of the Government of Peru on CRPAOs issued to a consortium engaged to construct the IIRSA Sur toll road.
- Indian Manufacturing Plant. Represented the Bank of Nova Scotia in senior and subordinated debt financing for building materials manufacturing project near Mumbai, India.
- Indonesia Oil Refinery and Shipping Port. Advised on various transactions regarding construction of oil refinery and oil shipping port in Indonesia.
- Inland Steel/Caster Project. Represented Inland Steel Company (as owner/developer) in financing of continuous caster project at Indiana Harbor Works.
- Inmobiliaria Mexico Center. Represented Inmobiliaria Fucu, S.A. de C.V., as developer, in the construction, financing and refinancing of a shopping center located in Mexico City.
- Kobe Steel/Alcoa JV. Represented Kobe Steel (as joint venture partner with Alcoa) in the development, construction and financing of an aluminum can manufacturing facility in Japan.
- Kobe Steel/Shinko. Represented Kobe Steel in its joint venture with Alcoa for the development, construction and financing of two automotive product manufacturing facilities, one in the US and one in Japan.
- McCormick Place. Represented the Metropolitan Pier and Exposition Authority (as owner) in connection with the development and financing of the $1.0 billion McCormick Place convention facilities expansion project, including related heating and cooling plant, convention center hotel and a 4,000 space parking garage.
- Mexican Resort. Advised CIBC in financing of a resort in Cabo San Lucas, Mexico.
- Midwestern Ethanol. Advised issuer in potential public offering and debt financing, the proceeds of which will be used for the construction of several ethanol plants in the Midwest.
- Minnesota Wild. Represented BMO Nesbitt Burns Securities, as Arranger, in a $78 million loan facility to construct the stadium for the new NHL franchise in the Twin Cities, Minnesota.
- Mozambique Plant. Represented the lender in the financing of a processing plant.
- Nordural Aluminum Smelter/Iceland. Advised DCR regarding its rating of financing for an aluminum smelter project in Iceland sponsored by Columbia Ventures Corporation.
- Peoples' Energy Company. Underwriters' counsel for $150 million gas revenue refunding bonds issued by the City of Chicago for the benefit of Peoples' Energy, the proceeds of which were used to refinance utility infrastructure improvements.
- Plate Mill Financing. Represented The Bank of Nova Scotia in establishing a credit facility for a USX Corporation plate mill guaranteed by Saw Pipes Limited, an Indian corporation, and the Industrial Credit and Investment Corporation of India, Ltd.
- Polish Coal Privatization. Advising the Government of Poland on the restructuring and privatisation by way of sale of the Polish national coal industry.
- Ponderosa Fibres of America. Represented Ponderosa (as owner/developer) in the development, constructing and financing of a recycled wastepaper de-inking pulp mill in Northampton County, Pennsylvania.
- St. Louis Cardinals Baseball Stadium. Represented client in connection with the hybrid securitization/project financing of a new $330 million baseball stadium for the St. Louis Cardinals.
- Siberia Sports Facility. Advised a US construction company in its negotiation and structuring of a project for the construction of a major sports facility in Siberia.
- Snamprogetti S.p.A./Mexico. Represented Snamprogetti S.p.A., owned by the State-Owned Ente Nazionale Idrocarburi of Italy, in its successful bid for a US $600 million "turn-key" public works called by Petroleos Mexicanos for the design, construction and start-up of a Hidrodesulfurization Plant in Tula, State of Hidalgo, Mexico.
- Soldier Field Joint Venture. Represented Soldier Field Joint Venture which operates and manages Soldier Field, a 67,000 seat stadium that is the home field to the Chicago Bears football team.
- Solid Waste Agency of Northern Cook County/Waste Transfer. Advised client on negotiation and documentation of proposed use agreements that serve as security for a $100 million waste disposal project financing and negotiation of construction contracts for state-of-the-art, waste transfer station.
- South Africa Law Reform. Provided advice to the South Africa Department of Constitutional Development on legal reforms, regulatory framework requirements and institutional and public financing arrangements.
- Southland Newsprint. Represented rating agency in $600 million greenfield newsprint plant in Texas.
- Stardust Hotel. Represented CIBC Inc., First Interstate and Security Pacific (as co-agents) in project financing of new tower at Las Vegas, Nevada hotel.
- Stroyservice/EBRD. Advised the European Bank for Reconstruction and Development in connection with its investment in Stroyservice, a building materials enterprise located in Uzbekistan.
- Tata Hotel. Advised clients in connection with the acquisition and modernization of the Tata Hotel Complex in Tashkent, Uzbekistan.
- Texas Ethanol. Advised lender in connection with the financing of a biomass fueled 105 million gallons/year ethanol production facility to be located in Hereford, Texas.
- Thai Resins. Advised the Long-Term Credit Bank of Japan, Ltd. regarding a $150 million project financing for a 66,000 metric tons per year engineered resins plant for Monsanto Premier Kasei Company, Ltd. at Map Ta Phut, Thailand.
- Tribasa Toll Road Trust. Represented Salomon Brothers (as placement agent and initial purchaser) in a Rule 144A offering of securitized toll road revenues.
- UK Hospitals. Advised UK investment bank on project/lease financing of hospital expansion program.
- United Center. Represented lenders in connection with the construction and permanent financing of the United Center (home arena for the Chicago Bulls and Chicago Blackhawks) in Chicago, Illinois.
- United States Filter Corporation. As a partner with the Trigen and Cinergy companies, structured and negotiated a transaction to design, build, finance, own, operate and maintain a multi-million dollar utility services facility which provides chilled water, hot water, water and wastewater treatment services, compressed air and electricity for a new General Motors automotive manufacturing plant in Michigan.
- Unocal Thailand, Ltd.. Represented The Bank of Nova Scotia, as agent for a syndicate of international banks, in a $250 million financing for Unocal Thailand, Ltd. for the development of onshore and offshore pipelines in Thailand.
- Uzbek Cottonseed Oil Mills. Advised a US cotton machinery manufacturer in connection with a joint venture with an Uzbek state-owned enterprise to modernize Uzbekistan's cottonseed oil mills.
- Uzbek Manufacturing Supply. Advised a US automobile components manufacturer in connection with supplying components to an Uzbek car manufacturing joint venture.
- Uzbekistan Chemical Plant. Represented a multinational chemical company in connection with a proposed joint venture to construct and operate a chemical plant in Uzbekistan.
- Uzbekistan Tobacco Industry Privatization/BAT. Advised the Policy Economics Groups of KPMG Peat Marwick and the State Committee on the Management of State Property and the Support of Entrepreneurship of the Republic of Uzbekistan in connection with the privatization of the Uzbek tobacco industry.
- Westchester RESCO. Represented Wheelabrator Environmental Systems, Inc. (as general partner of lessee) in renegotiation of disposal agreement and refinancing of tax exempt financing of solid waste disposal and resource recovery facility in Peekskill, Westchester County, New York.

- Angren Gold Tender. Advised the State Committee on Geology and Uzalmazzoloto in connection with a joint venture with Western Mining Corporation to explore, develop, and mine the Zarmitan Gold Deposit.
- Antamina Copper/Zinc Project. Represented Export-Import Bank of the United States in connection with the $2.2 billion Antamina copper/zinc mining project in Peru.
- Batu Hijau Mining Project. Advised client on regulatory barriers to its investment in Batu Hijau copper/gold mining project in Indonesia.
- Bibiani Project. Advised lead arranger in project financing of Bibiani gold mine in Ghana.

- Jianchaling Gold. Advised clients in connection with financing and development of Jianchaling gold mine in China by Sino Mining International Limited, an affiliate of the Government of China.
- Julietta Project. Represented lead arrangers in debt project financing for the development of the Julietta project in Magadan Oblast, Russian Federation. Named Euromoney / Project Finance Magazine European Mining Deal of the Year (2000).
- Kadimjai Antimony Combinat. Advised the Kyrgyz Government in connection with a polymetallic joint venture between Kadimjai Antimony Combinat, a subsidiary of Kyrgyzaltyn and foreign investors.
- Kairagach Project. Represented client in development of Kairagach and Aktepe gold and silver deposits in Uzbekistan.
- Kaltim Prima. Advising the Kaltim Prima project company as sponsor and developer in relation to the £1 billion project financing of the second phase of the Kaltim Prima mining project in Malaysia.
- Kazakhstan Aluminum. Advised the Government of Kazakhstan in connection with an aluminum smelting transaction.
- Kazakhstan Chrome Project. Representing arrangers in the project financing of the Voskhod chrome project in Kazakhstan.
- Kazakhstan Copper. Represented a Turkish company in connection with a joint venture to develop a large copper deposit in Kazakhstan.
- Kizilalmasai Gold Tender. Advised the State Committee on Geology and Uzalmazzoloto in connection with a joint venture with Newmont Gold Company and Mitsui to explore, develop and mine the Kizilalmasai Gold Deposit in Uzbekistan.
- Kumtor. Represented Kyrgyzaltyn (as co-sponsors with Cameco Corporation) in the project financing of the Kumtor gold deposit in the Kyrgyz Republic.
- Kupol Mine. Represented lenders in connection with the project financing of the Kupol gold and silver mine in Russia. Named Euromoney/Project Finance Magazine EMEA Mining Deal of the Year (2005).
- Las Cristinas Gold Mine. Represented Corporación Venezolana de Guayana (CVG) as equity participant in a proposed $250 million financing, on a project basis, of the Las Cristinas gold mine, sponsored by Placer Dome Inc. and CVG.
- Lone Tree Mining. Represented Santa Fe Pacific Mining Corporation (as owner/developer) in gold loan financing for new mine in Humboldt County, Nevada.
- Loulo/Mali. Act for the mandated Lead Arrangers (Société Générale and NM Rothschild & Sons Ltd.) in connection with the project financing of the Loulo gold mine located in Mali.
- Mexicana de Cananea. Represented Generale Bank (as agent) in $115 million financing for the acquisition of a Mexican copper mine.
- Montana Palladium and Platinum. Represented of TD Securities (USA) Inc. and Toronto Dominion (Texas), Inc. as sole arranger and administrative agent, respectively, of up to $250 million of proposed credit facilities to Stillwater Mining Company, to refinance existing credit facilities and to fund the expansion of palladium and platinum mines in Nye and East Boulder, Montana.
- Morila Project. Represented lead arrangers in debt project financing for the development of the Morila gold project in Mali, West Africa.
- Nalunaq. Advised clients in connection with the potential financing of the Nalunaq gold project in Greenland.
- Newmont Mining/Uzbekistan. Represented State Committee of Geology and Mineral Resources of the Republic of Uzbekistan and the Navoi Mining and Metallurgical Concern (as co-sponsors with Newmont Mining Corporation) in a $130 million project financing of a heap leaching plant at the Muruntau gold mine near Zarafshan, Uzbekistan by the European Bank for Reconstruction and Development and a consortium of Western commercial banks.
- Nezdaninskoye. Represented Standard Bank London Limited in debt project financing for the development of the Nezdaninskoye gold project in Northern Russia.
- Niugini Mining. Represented Westpac Banking Corporation (as lender) in development financing of San Cristobal mine in Chile by Niugini subsidiary.
- OK TEDI. Served as Illinois Counsel to Export Credits Guarantee Department of England, Export Development Corporation of Canada, Export Finance and Insurance Company of Australia, and Österreiche Kontroll Bank, A.G., of Austria in connection with a project financing for OK TEDI Mining Limited, Papua, New Guinea.
- Peter Hambro Mining. Act for Bayerische Hypo- und Vereinsbank in connection with a credit facility made available to the Peter Hambro Mining group of companies.
- PT Inco. Represented The Chase Manhattan Bank, The Bank of Nova Scotia, the Export Development Corporation, The Export-Import Bank of Japan and the other lenders in the expansion and refinancing of the P.T. International Nickel's nickel mining and processing facilities located near Soroako on the island of Sulawesi, Indonesia.
- Refugio Gold Mine. Represented a syndicate of lenders (agented by N. M. Rothschild Sons Limited and Deutsche Bank AG) in connection with the debt project financing for the development of the Refugio gold mine in Chile.
- Rocksaw Technology, Inc.. Advised Rocksaw Technology, Inc. in connection with a refinancing agreement, private placement, use of technology in coal excavation for the Indonesian government and coal concession in Indonesia and offered general counsel regarding various rock trenching projects in Asia and Europe.
- Rock Trenching Projects. Advised the Indonesian government, a coal concession in Indonesia, and general counsel regarding a refinancing agreement, private placement, and use of their technology in coal excavation for various rock trenching projects in Asia and Europe.

- Santa Fe Pacific Gold Corporation/Kazakhstan. Represented Santa Fe in connection with a joint venture with Altynalmas and TOPAZ, state-owned mining enterprises in Kazakhstan, in a gold mining and exploration project in Kazakhstan.
- Southern Peru Copper. Represented Generale Bank (as agent) in the $115 million project financing to acquire and upgrade a copper refinery in Peru.
- Sukhoi Log. Advised client in connection with the potential financing of the Sukhoi Log gold deposit in Siberia.
- Tajik JV. Advised a foreign investor in a joint venture with Tajik mining enterprise to explore and develop a precious metals deposit in the northern region of Tajikistan.
- Tarkwa Project. Represented lenders in debt project financing for development of Tarkwa gold mine in Ghana.
- Titanium Sands Project. Represented Tiomin Resources Inc. in connection with its $201 million mineral sands project for extraction of titanium and zircon in Kenya.
- Turkey Gold Mine. Representing arrangers in the project financing of the Copler gold mine in Turkey.
- Turkmenistan Investment. Advised Government of Turkmenistan with respect to certain natural resource ventures with foreign companies.
- Uzbekistan Mining Venture. Represented the State Committee on Geology and Mineral Resources for the Republic of Uzbekistan and another entity in a joint venture with which to develop three gold and silver mines in the republic.
- Vasilovskoye Gold Tender. Represented foreign investor in bidding process relating to the Vasilovskoye gold project in Kazakhstan.
- Wassa Project. Represented Standard Bank London Limited (as agent) in debt project financing for development of Wassa gold mine in Ghana.
- Westmoreland Mining Project. Represented Heller Financial, Inc. in a proposed financing of the acquisition of certain coal mining assets in Montana.

- Amoco Corporation. Represented Amoco Equipment Leasing Company and Amoco Corporation in financing of new oil and gas production, treating and processing equipment.
- Anschutz Ranch East Pipeline. Represented Canadian Imperial Bank of Commerce (as lender) in refinancing of an oil pipeline construction project.
- Apache Corporation/Egypt Oil. Represented a syndicate of banks agented by Chase Manhattan in connection with the development of several oil fields in Egypt owned by Apache Corporation
- Aux Sable Liquid Products. Represented Aux Sable in $450 million natural gas liquids extraction, fractionation and marketing project.
- California Polypropylene. Represented Bank of America, N.A., as agent in the $125 million permanent financing of a polypropylene manufacturing and loading facility in California.
- Clark Refining. Represented Clark in its acquisition of the Port Arthur refinery from Chevron.
- Dauphin Island Gathering Partners. Represented Swiss Bank Corporation (as lender) in construction and term financing of offshore gas gathering system, near Mobile, Alabama.
- Dow Chemical. Represented Bank of America as arranger and equity provider for an approximately $700 million transaction involving the construction, financing and expansion of one of Dow's existing Canadian ethylene facilities.
- Dragon Oil/Turkmenistan. Advised the European Bank for Reconstruction and Development on the extension of a loan to a subsidiary of Dragon Oil to finance its obligations under production sharing agreement with respect to the Cheleken Contract Area, Turkmenistan.
- Dutch Gas Distribution Network. Represented equity investors in a $200 million lease transaction in connection with a Dutch gas distribution network.
- Eaton Rapids Gas Storage System. Represented The Toronto-Dominion Bank (as lender) in financing of a gas storage project.
- Empire State Pipeline. Represented the Toronto Dominion Bank (as agent) in construction financing.
- Enron/Bushton Gas Liquids. Represented several equity participants in leveraged lease financing of Enron Gas Processing Company's natural gas liquids facility in Bushton, Kansas.
- Enron/Uzbek Oil and Gas. Represented a multinational energy company in connection with its joint venture to develop an oil and gas deposit in Uzbekistan.
- Epsilon Products Company/Garyville Polypropylene. Represented Epsilon Products Company (as owner/developer) in a project financing of the development, construction and financing of a polypropylene plant in Garyville, LA.

- A1 Darrington to Dishforth DBFO Road Project. Advised sponsors on PFI bid to design, build, finance and operate the £200 million Darrington to Dishforth section of the UK A1 motorway.
- A13 DBFO Road Project. Advised sponsors on the UK A13 road project.
- Croydon Tramlink. Acted for Centre West Limited and its subsidiary Tram-Operations Limited on the £200 million Croydon Tramlink project to construct, operate and maintain a tram system over 29 kms.

Dax EA-ALAT Project (France). Advised the successful consortium made up of Défense Conseil International and Proteus Hélicoptères on the 20-year PPP contract for the provision of light helicopter flight hours to the French army's training center at Dax, Southwest France. This is the first public-private partnership contract (contrat de partenariat) ever awarded by the French ministry of defense.
- DBFO Roads. Advised one of the leading US credit enhancement institutions on proposals for participating in capital markets financing of DBFO road schemes.
- DSS Prime. Advised Compass Management and Leasing, one of the two facilities management companies retained by the PRIME (now Trillium) consortium on a £3 billion accommodation project for the Department of Social Security.

Jacksonville Electric Authority. Assisted client in its development and financing of a $500 million, 600MW combined cycle power plant utilizing circulating fluidized bed (CFB) technology, which plant uses petroleum coke and coal as fuels. Among other matters, this representation included assisting the client in structuring an agreement with the US Department of Energy for the sharing of the cost of designing and building the plant, which agreement was made possible by the Department's Clean Coal Technology Program.

- Belde Port/Turkey. Advised client on a Rule 144A private placement and project financing of a port project in Turkey.
- BNSF/Shortline. Represented BNSF in connection with several greenfield shortline railroad projects.
- Central Illinois Regional Airport. Underwriters' counsel for the issuance of passenger facility charge revenue bonds to finance new passenger terminal.
- Chicago Skyway. Represented City of Chicago in the $1.83 billion Chicago Skyway financing. Named Euromoney/Project Finance Magazine North American Transport Deal of the Year (2004).
- Comar/Mexican Airport Parking. Advised Comar in its negotiations with the Ministry of Communications and Transportation and with Aeropuertos y Servicios Auxiliares y Servicios Conexos to obtain a concession for the construction and exploitation of a parking lot in Tijuana's International Airport, and in related commercial paper issuance.
- Comar/Mexican Toll Road. Represented Comar in its negotiations with the Mexican Ministry of Communications and Transportation and the Government of the State of Queretaro to obtain the concession for the construction and operation of a toll road highway, and in the related Peso loan agreement for the equivalent of US $70 million to finance the construction of the highway.
- Compañia de Desarrollo Aeropuerto Eldorado S.A. ("CODAD") - Bogota. Represented Duff & Phelps Credit Rating Co., as rating agency, in the placement of $116 million of notes of CODAD, secured by future landing fee revenue generated at Eldorado International Airport in Bogota, Colombia.
- Corredor Sur. Represented underwriter in connection with the refinancing of the Corredor Sur toll road in Panama. Named Euromoney/Project Finance Magazine Latin American Refinancing Deal of the Year (2005).
- Dulles Toll Road Extension Project. Represented Toll Road Corporation of Virginia (as developer) in construction and permanent financing of privately operated toll road in northern Virginia.
- Dusseldorf Airport. Represented AGI in bid to acquire at competitive auction a 50% stake ($2 billion) in the Dusseldorf Airport from the State of North-Rhine Westfalen.
- Exploitatiemaatschappij Wijkertunnel C.V.. Represented Internationale Nederlanden Groep N.V. (as agent) in construction and permanent project financing of the Wijkertunnel near Amsterdam, Holland.
- Grupo Marhnos, S.A. de C.V./Mexican Toll Bridge. Represented Grupo Marhnos, S.A. de C.V. in its negotiations with the Government of the State of Tamaulipas, the Ministry of Communications and Transportation and the Ministry of Social Development in connection with the construction and issuance of a concession for the operation of the Mexican side of the Reynosa-Pharr International Toll Bridge, and in related US $40 million medium-term commercial paper issuance.
- Hull Trains. Advised Hull Trains on its bid to become the first passenger open access operator in the UK
- Los Angeles Airports. Advised City of Los Angeles on regulatory and other issues related to master plan for the development of the Ontario International, Palmdale and Van Nuys airports.
- Mejillones Port Project/Chile. Represented Inter-American Development Bank and Caisse des Depots in financing a greenfield port in Chile.
- Mexican Toll Road. Represented WestLB in connection with the project financing of a toll road in Mexico.
- O'Hare - American Airlines. Acted as counsel to American Airlines on issuance of $108 million in special facility revenue bonds to finance various capital improvements at Chicago O'Hare Airport.
- O'Hare - International Terminal. Acted as underwriters' counsel for issuance of $818 million in revenue bonds, the proceeds of which were applied to refinance bonds issued to finance the International Terminal at Chicago O'Hare Airport.
- O'Hare - United Airlines. Acted as counsel to remarketing agent on reoffering of $242 million in special facility revenue bonds issued to finance terminal improvements for the benefit of United Airlines at Chicago O'Hare Airport.
- Paderborn Airport Runway Extension. Advised Flughafen Paderborn Lippstadt concerning optimizing the airport's runway system.
- SCL Terminal Aereo Santiago S.A. ("SCL") - Santiago. Represented Duff & Phelps Credit Rating Co., as rating agency, in the placement of $213 million of 14-year senior secured bonds of SCL, insured by MBIA Insurance Corporation, to finance the expansion and renovation of Arturo Merino Benítez de Santiago International Airport in Santiago, Chile, for which SCL held a 15-year concession.
- St. Petersburg Airport. Represented Duff & Phelps Credit Rating Co., as rating agency, in connection with the proposed issuance of bonds to finance a new international terminal.
- Tribasa Toll Road Trust 1. Represented Salomon Brothers as underwriter in a $110 million US private placement and Eurobond offering by Tribasa Toll Road Trust 1, a Mexican trust holding toll collection rights to two Mexican toll roads.
- Turkey Motorway Project. Represented Bank of America National Trust and Savings Association in arranging a US $75 million term loan for the Republic of Turkey to finance completion payments on a motorway project.
- Virgin Trains. Advise Virgin Trains on the procurement of new rolling stock for West Coast and CrossCountry franchises in the UK

Water/Wastewater
- Bahrain Water. Represented the Kingdom of Bahrain in the privatization of its power and potable water utility systems, which representation included providing counsel as to the structuring and implementation of a regulatory framework (including associated tariffs), structuring, drafting and assisting in the implementation of all necessary legislation, and preparing all project agreements necessary to undertake an Independent Water & Power Project (including all water and power purchase agreements).
- Citizens Water Resources Company. Counsel to the largest private water utility in Illinois in the following transactions. (i) structuring and negotiating an engineering services agreement for the comprehensive design of a $50 million pipeline system to convey Lake Michigan water to rapidly growing southwest suburban area of Chicago; and (ii) bidding, awarding and negotiation of construction contracts necessary to build approximately 15 miles of water pipeline and associated storage tanks, booster stations and related facilities.
- Chicago Water Financings. Special counsel to City of Chicago in the negotiation and documentation of intergovernmental agreement authorizing. (i) bond-financed prepayment of $200 million in fees and charges by DuPage Water Commission (City's largest wholesale customer for Lake Michigan water); (ii) purchase and sale of water works and related infrastructure improvements needed to supply DuPage Water Commission; and (iii) amendments and revisions to long-term water supply contract; and Underwriters' counsel on $115 million of Second Lien Wastewater Transmission System Revenue Bonds, the proceeds of which were used to implement an innovative, residential flood control system and replace aging infrastructure.
- Congo Privatization. Represented the Government of the Republic of Congo in connection with issues relating to privatization of the electricity and water sectors.
- Gaziantep Water Project/Turkey. Represented Bank of America National Trust and Savings Association in its arranging and participating in a US $100 million term loan for the municipality of Gaziantep, Turkey to financing completion payments on a water project, guaranteed by the Republic of Turkey.
- German Water. Represented developer clients in privatizations of water treatment facilities in Germany.
- Metropolitan Water Reclamation District/Bio-Solids. Counsel to joint venture proposing to develop $100 million bio-solids treatment facility to be implemented in partnership with the MWRD, the owner and operator of metropolitan Chicago's multi-billion waste treatment and water reclamation system.
- North West Water International (UK)/Mexico City Water. Advised and assisted North West Water International Limited of the United Kingdom in its successful participation in the bid called by the Department of the Federal District to provide water services to Mexico City and in its joint venture with Mexico's Grupo GUTSA, S.A. de C.V.
- Otter Creek Water Reclamation District. Underwriters' counsel on $16 million of sewerage system and waterworks revenue bonds, the proceeds of which were used to finance the acquisition and construction of wastewater and potable water treatment facilities.
- Salitre. Represented DCR, as rating agency, in an issuance of notes by a project company (sponsored by Lyonnais des Eaux and Degremont) to finance improvements to facilities held under a long-term concession granted by the City of Bogota. A portion of the notes was guaranteed by the Inter-American Development Bank ("IDB")under the IDB's partial risk guaranty program.
- Sofia Water. Advised a multinational water company on the privatization of the supply of water and wastewater services of the Municipality of Sofia (awarded "Eastern Europe Deal of Year 2000" by the Privatisation International Magazine).
- US Water. Advised in connection with procurement and documentation required to privatize billing and collection functions of the City of Chicago's Department of Water, with contract value in excess of $50 million.
- United States Filter Corporation. Counsel to USF on the following water and wastewater projects. (i) as a partner with a nationally recognized energy services company, a multi-million dollar utility services facility to service a new automotive manufacturing plant; (ii) a process water and wastewater treatment facility for a proposed steel mill; (iii) a process water and wastewater treatment facility for an engine manufacturing plant owned by Honda Automotive Company; (iv) a wastewater treatment plant servicing a stainless steel manufacturing plant; (v) a wastewater treatment plant for a brewery; (vi) a series of transactions for municipally-owned water and wastewater treatment facilities throughout the United States; and (vii) preparation of documentation for design, construction, financing, operation and maintenance of municipal and industrial water and wastewater treatment plants.
- Warrenville Development Limited Partnership. Counsel to joint-venture owner of 500 acre development parcel in negotiating and documenting contracts for supply of Lake Michigan water from DuPage Water Commission.
- Water / Wastewater Facilities Acquisition. Represent client in the acquisition of water and wastewater utility facilities in Illinois.
