Overview
Ronan Mellon concentrates on structured finance, securitisation and collateralized loan obligations. His extensive experience covers a broad range of asset classes including SME loans, trade receivables, handsets, buy now, pay later, auto leases, credit cards, project loans and development loans.
He also has broad project finance experience covering project bond/note issuances, private placements and hybrid (bond/note/fixed rate loan/floating rate loan) structures on both wrapped and unwrapped transactions.
Experience
- Advising a leading US bank and European bank in their roles as senior lenders on an EU STS compliant trade receivables securitisation. The underlying assets were originated by subsidiaries of a NYSE listed company and based in France, Germany, Ireland, Italy, Singapore, Spain, Switzerland and UK.
- Advising a UK bank on their purchase of a mezzanine tranche of a warehouse financing in respect of a portfolio of Polish auto lease assets. The purchase was facilitated by a note repack transaction whereby a newly incorporated Irish SPV subscribed for the mezzanine tranche, funded by the issuance of a pass-through note.
- Advising a leading UK platform lender in its roles as Seller, Servicer, Risk Retention Holder and Original Junior Loan Noteholder on a warehouse financing transaction with a leading UK bank. The underlying assets were UK secured bridging loans in relation to residential properties, mixed-use properties and student accommodation properties.
- Advising a large global fund as lender of a senior variable funding note to a securitisation of BNPL and trade receivables. The originator had subsidiaries across France, Lithuania and the UK.
- Advising a large global fund as lender of a senior variable funding note to a securitisation of credit card receivables originated by a UK fintech.
