Tauil & Chequer Advogados advises Vinci Partners on the acquisition of a controlling stake in Bloomin Brands operations in Brazil

Tauil & Chequer Advogados, through its specialized M&A, Private Equity, and Franchising team, advised Vinci Partners (utilizing its fourth private equity fund) in the acquisition of a controlling stake in Bloomin’ Brands' operations in Brazil. Vinci will hold a 67% stake in the operation, while the American company will remain a shareholder with 33%. The closing of the transaction is subject to the fulfillment of customary conditions precedent for this type of deal.
The company has three restaurant brands in Brazil: Outback, with 174 units, Abbraccio, with 17, and Aussie, with 2. The enterprise value considered for the transaction was R$ 2.06 billion.
The team was led by partners Carlos Motta and Guilherme Tranquillini and included associates Thiago Coimbra, Isabella Santos, and Raíssa Lopez from the Corporate and M&A practice.
