Nanak Keswani has nearly 20 years experience across a wide range of structured finance transactions, concentrating his practice in OTC derivatives, repos and structured credit.

Nanak advises global investment banks, end users and service providers on structuring, documentation, regulation and disputes in these areas with a particular focus on repackaging of financial assets, structured repos, TRS and other collateralised funding structures, risk transfer, structured note programmes and finance related hedging.

He joined Mayer Brown in April 2007.

Advising global banks on their structured repo and derivatives financing transactions opposite major banks and financial institutions in Turkey, the UAE, Saudi Arabia, Canada, United States of America, France, Spain, Italy and the UK.
Advising an investment fund manager as deal counsel on all of its funds' repackagings of their CRE loan assets and related limited recourse structured repo transactions.
Advising a global investment firm on the entry into and refinancing of two loan facilities on the launch of a £203.1 million commercial mortgage backed security secured by a portfolio of commercial property located in the UK, which involved the issuance of £203.1 million Reg S and Rule 144A fixed and floating rate notes listed on the Irish Stock Exchange.

Advising a global financial institution as mandated lead arranger and repo buyer in a complex multi-jurisdictional secured commercial real estate financing in order to finance the acquisition of 23 business centres and shopping malls in Germany. The financing has been achieved using a multi-tiered structure: a secured loan was advanced by an orphan SPV from proceeds it received as issuer of notes which repackaged the future cashflows of the secured loan (the “Repackaged Notes”); the Repackaged Notes were subscribed to by a Sponsor-affiliated SPV, as sole noteholder, which in turn repo’ed the Repackaged Notes with a global financial institution acting as repo buyer.
Advising a global investment manager in its investment in a synthetic securitisation transaction of CRE loans arranged by RBS.
Advising a private investment banking company on all aspects of its acquisition of credit-linked notes in significant risk transfer structures including EU and UK Securitisation Regulations.
Advising a global bank on its funding of a client’s’ investment in synthetic securitisation structures both through financial guarantees and credit-linked notes.
Advising an investment fund manager on investment by its funds in synthetic securitisation structures through the of credit-linked notes.
Advising a rating agency as to whether the synthetic risk transfer of the balance sheet corporate loan book of a global investment bank satisfies their legal criteria for rating.
Advising borrower and lenders in relation to risk retention repo financing transactions.
Representing one of the leading custodians and derivatives collateral managers, advising on compliance with the European and US regulations on margining of uncleared derivatives.
Advising a group of banks and financial services providers in a multiple series DPR future flow transaction with a Turkish bank with an aggregate value of $50 million and €185 million.
Representing originators, hedging banks and lenders on all hedging structuring, legal and regulatory aspects across the full spectrum of finance linked hedging including in relation to:
- the €799.22 million STS compliant securitisation of a portfolio of hire purchase auto loans. The transaction is the first ever STS securitisation transaction issued out of Finland;
- the warehouse financing of auto (and other hard assets) hire purchase loans and leases originated by an auto financing company, via an Irish incorporated SPV;
- the £331.2 million auto loan securitisation issued by Globaldrive;
- the ABS securitization of a portfolio of auto-hire purchase loans originated by an auto financing company;
- the €460 million financing of an acquisition by a private equity firm and management consulting service of a portfolio of consumer loan receivables from a diversified bank in France;
- the financing of a portfolio of French consumer loan receivables;
- the financing of a portfolio of French commercial loan receivables;
- the £261 million residential mortgage backed securitization issued by a UK mortgage securitization vehicle;
- the issuance of SONIA-linked residential mortgage backed securities;
- the warehouse financing of mortgage loans to a specialist mortgage and savings provider in an amount up to £350 million;
- the securitisation of three portfolios of non-performing loans originated by two Italian banks;
- a Dutch PPP project financing;
- a £192 million syndicated financing for a subsidiary of a leading energy infrastructure investment firm which owns and operates three combined cycle gas-fired plants and oil-fired peaking units; and
- a $823 million project financing, provided to Baja Mining Corp.'s project company, for the construction and development of a zinc, copper, cobalt and manganese mine in Baja California Sur, Mexico.
