In the Journal de droit européen, Aymeric de Moncuit, Jean-Maxime Blutel and Camille Worms comment on the EU Court of Justice’s “Illumina/Grail” judgement and its clarification of the scope of the European Commission's jurisdiction to review transactions below its jurisdictional thresholds.

Excerpt:

  1. The Court of Justice has clarified that the referral mechanism provided for in Article 22 of the EU Merger Regulation does not allow the national competition authorities of EU Member States to refer transactions to the European Commission in cases where those authorities do not themselves have jurisdiction to review them under their national rules.
  2. The Court strongly reiterates the importance of the requirements of predictability and legal certainty for companies.
  3. The Court recalls that other instruments exist to control acquisitions of undertakings falling below jurisdictional thresholds.
