Overview
Ben Crosby acts for large public and private companies, sponsors, portfolio companies, banks, and private credit institutions on borrower- and lender-side transactions in both the US and UK markets as well as in a cross-border context. Ben also has experience with ESG-related financial instruments and advises borrowers, lenders, issuers, and agents on sustainability-linked and use of proceeds debt products in the US, European and APAC markets.
Experience
- Advised a major petrochemicals company on the incurrence of $1.2bn and €800mm term loans under a New York law governed TLB.
- Advised a global drinks manufacturer in the UK and Australia regarding the amendment and restatement of a €1.95bn sustainability-linked term loan.
- Advised a multinational distribution and logistics company on the cancellation of a suite of credit facilities and the establishment of 12 new sustainability-linked loans.
- Represented two US banks in their capacities as collateral agent in connection with a debtor’s incurrence of term loans and concurrent note sale under New York law governed documentation.
