Overview

Karen Kim is a partner in Mayer Brown's New York office and a member of the Tax Transactions & Planning team. She advises clients on mergers, acquisitions, joint ventures, divestitures, spin-offs and restructurings both domestically and cross-border. Her practice also includes structuring cross-border arrangements for domestic and international private equity funds.

In addition to her transactional work, Karen has deep experience advising multinational financial institutions and individuals in global investigations involving US tax issues, including the Department of Justice’s settlement program for Swiss banks.

Prior to joining Mayer Brown, Karen was with another leading international law firm.

Experience

Karen’s recent tax representations have included:

  • Elkay Manufacturing Company, a manufacturer of stainless steel sinks, in its $1.56 billion sale to Zurn Water Solutions Corporation.
  • TriState Capital Holdings, a bank holding company, in its acquisition by Raymond James Financial, Inc., for approximately $1.1 billion in cash and stock.
  • Engie in the $1.2 billion acquisition of Broad Reach Power LLC, a company specialized in battery storage, from private equity funds EnCap Energy Transition and Apollo Infrastructure. The transaction involved 350 MW of operating assets as well as 880 MW under construction and 1.7 GW of advanced stage projects and a significant pipeline of early stage projects.
