Overview

Tom Kollar advises clients on cross-border capital markets transactions and general corporate matters. He has extensive experience in high-yield bonds, MTN program establishment and maintenance, sovereign and quasi-sovereign debt offerings, complex liability management and debt restructuring exercises, regulatory capital, hybrid securities, IPOs, SPACs, block trades, equity placements, PIPES, rights issues, and US SEC-registered and exempt offerings. Tom has advised on transactions in every active market in Asia and has substantial experience in emerging and frontier markets.

Advised:

  • The joint lead managers on a New York law governed US$2.05 billion three-tranche, SEC-registered offering issued by the Republic of Indonesia. The transaction comprised US$500 million 4.40% bonds due 2029, US$650 million 4.70% bonds due 2034, and US$900 million 5.10% bonds due 2054.
  • Shriram Finance Limited, one of India’s largest retail non-banking finance corporations, on its Rule 144A/Regulation S offering of US$750 million 6.625% senior unsecured notes due 2027 under its US$3.5 billion global medium-term note (GMTN) programme, and on its annual GMTN programme update.
  • Mongolian Mortgage Corporation HFC LLC and MIK Holding JSC, a core housing finance company in Mongolia, on their exchange offer for 8.85% senior notes due 2024 and the concurrent new money issuance of US$225 million 11.5% senior notes due 2027.
