- Formed and helped advise dozens of new companies, including corporations, limited partnerships and limited liability companies.
- Advised emerging companies in connection with employment contracts, employee incentive plans, restricted stock sales, stock options, early stage financings, and tech transactions.
- Supported the formation of venture capital, real estate, and hedge funds, including domestic and offshore structures.
- Assisted in fund-related projects, including the restructuring of funds and development of co-investments and SPVs.
- Represented clients in Seed and Series A financings, including deals involving SAFE conversions and requiring cap table development.
- Assisted with commercial contracting issues, including software and technology licensing, product distribution, and purchase and supply agreements.
- Conducted due diligence related to asset sales and other equity deals, as well as debt issuances of public companies.
