Ling Ern Seow

Prior to joining Mayer Brown, Ling worked for another prominent Asia-focused law firm in the diverse areas of construction, projects and infrastructure, energy and resources. She also previously had the opportunity to be seconded to EDPR Sunseap’s Singapore office to advise on its solar power purchase agreements with its major customers and has experience in projects for imports of renewable energy into Singapore and rooftop solar developments in Asia.

TUAs

• Avenir LNG as terminal owner and project developer in connection with the drafting, negotiation and development of a multi-user TUA to be utilised for its HIGAS LNG terminal in Italy.
• AES Corporation in respect of its terminal use arrangements for its Son My 2 terminal project.
• Itochu Corporation in respect of its tolling arrangements relating to an upstream liquefaction terminal in Canada.

LNG SPAs

• Excelerate Energy in connection with its sale of LNG on a long-term LNG SPA to Bangladesh’s Petrobangla on a DES basis. Under this agreement, Excelerate will supply 0.85 to 1.0 of LNG to Petrobangla over a term of 15 years starting from 2026.
• A confidential Asian buyer in respect of their long-term purchase of LNG from the Corpus Christi LNG Project.
• A confidential North Asian buyer on its purchase of LNG from Oman under a long-term LNG SPA on a FOB basis.
• A confidential Asian client in connection with the sale and purchase of LNG from the Oman project on a DES basis.
• Millennium Energy in connection with its LNG procurement in connection with its proposed Vietnam LNG Hub and LNG-to-power project in Nghi Son and Van Phong.
• A confidential buyer on the conversion of an LNG SPA from DES to FOB basis in connection with the Cameron LNG Project.
• A confidential LNG buyer in connection with a 15-year LNG SPA to purchase LNG from the Delfin LNG Project on a FOB basis.
• A North Asian client in connection with their long-term LNG SPA to purchase LNG from the Delfin LNG Project.
• Hartree Partners in connection with a 20-year LNG SPA with Delfin LNG LLC. Under this agreement, Hartree will purchase 0.6 MTPA of LNG on a Henry Hub-linked price from the Delfin Deepwater Port LNG Export Facility off the coast of Louisiana, USA.
• Itochu Corporation in connection with a long-term LNG SPA with NextDecade relating to the Rio Grande LNG Export project in Texas, and on the subsequent on-sale of such LNG to multiple LNG purchasers for the purposes of, among others, supplying fuel to power generation projects.
• China Resources in relation to its long-term purchase of LNG from a Singaporean entity on a DES basis for delivery into China.
• A Brazilian entity on its existing LNG SPA, including advising on restrictions on downstream gas sales arrangements.
• Pavilion Energy on reviewing and updating its suite of DES LNG SPAs in light of EU ETS regulations and other environmental and regulatory restrictions.

MSPAs

• A major US developer on review and negotiation of a suite of MSPAs (as buyer) for delivery at a terminal in the Americas.
• A confidential company on the purchase and subsequent re-sale of LNG under an MSPA at an LNG terminal in Brazil.
• A confidential company on the sale and subsequent re-purchase of LNG under an MSPA at an LNG terminal in Thailand.
• A confidential North Asian client on the review and negotiation of a suite of MSPAs for delivery of LNG into South Korea.
• Hong Kong Electric and CAPCO on the drafting and review of MSPAs with major customers for delivery into Hong Kong.

Energy M&A

• A confidential investor in connection with the potential acquisition of an interest in a pre-FID US LNG export project, including due diligence, joint investment arrangements, shareholder arrangements, and offtake.
• A confidential energy company on its potential acquisition of 49% of a Brazilian company which indirectly owns two greenfield LNG to power projects and associated facilities in Brazil.
• Energos Infrastructure on the corporate restructuring of its Singapore entity and related matters, including on the acquisition of several LNG-related businesses.

• A Chinese EPC contractor on the drafting and negotiation of an EPC Contract for the development of its battery energy storage system (BESS) project on Jurong Island and advising on contract administration issues such as force majeure and extension of time claims.
• A power plant owner on the completion of its major sale of plant assets (Hyflux’s Tuaspring power station) for S$270 million cash. 
• An internationally operating German service provider in the novation and transfer of ICT services relating to Singapore Sports Hub following the termination of its former concession arrangement.
• A leading Japanese multinational industrial corporation in the completion of its acquisition of Hyflux shares in the TuasOne Waste-to-Energy facility. Role included drafting and reviewing the project agreements and other related documents.
• A global leader of rubber products supplies in the drafting of onshore and offshore contracts for its US$350 million investment in the engineering, procurement and construction of the world’s largest polyisoprene latex plant in Singapore. Legal support included drafting other ancillary agreements such as consultancy contracts, utilities services agreements and other sales and supply agreements.
• A government transportation agency on the issuance of tenders for the building of new mass rapid transit (MRT) lines and electric vehicle charging points across Singapore. 
• A Singaporean infrastructure conglomerate on the completion of its acquisition of the SingSpring Desalination Plant for S$12 million. Role included drafting and reviewing the project documents and other relevant documents for completion. 
• A government investment corporation in the drafting of bespoke particular conditions to its main construction contracts based on the SIA Building Contract 2016 standard form. 
• An American multinational technology conglomerate in its template construction contracts with major contractors for the construction of data centres across Asia. 
• An American multinational investment management and financial services company in reviewing construction contracts and purchase orders with its vendors based on the FIDIC standard forms. 
• A major local healthcare provider in the reviewing of tender procurement documents for major and minor construction works in Singapore.

Global Energy 

• A real estate investor in its partnership with a leading utilities group in the Asia Pacific to install rooftop solar photovoltaic (PV) systems across six of its industrial, logistics, and warehouse properties in Singapore.
• A consortium bidder in its bid submission for Energy Market Authority of Singapore’s first Request for Proposal (RFP1) for the import of up to 1.2 GW of renewable energy into Singapore by 2027.
