Maud Bischoff

Prior to joining Mayer Brown, Maud practised for several years at major law firms in Luxembourg and Paris.

In addition to her native French, Maud is fluent in English.

• Advised the Primonial Groupe on its acquisition of a 40% stake in Financière de l’Echiquier, an asset management and financial investments company.
• Advised private equity fund LBO France on the acquisition of Crouzet, a worldwide leader specialized in customized switches, electric actuators and automated systems for critical applications, from Innovista Sensors, a company owned by PAI Partners, The Carlyle group and Schneider Electric.
• Advised Maurel & Prom in the context of a term loan with Bank of Tokyo-Mitsubishi UFJ, Ltd and eight other Asian lenders for the purposes of, inter alia, the refinancing its oil and gas operations in Gabon.
• Advised private equity fund Raise on its acquisition of Mériguet, a leading French company specialized in luxury decorative craft, from Qualium Investissement and Future French Champions.
• Advised private equity fund Activa Capital on the acquisition of a majority stake in Look Cycle, a cycling equipment manufacturer.
• Advised private equity fund Alpha Private Equity on its acquisition of Feu Vert, a French car repair retail group.
• Advised Groupe C2S, (and its majority shareholder, private equity fund Bridgepoint) private clinics operator, on the acquisition of Groupe Avenir Santé, private clinics operator, from Montefiore Investment.
• Advised Partners in Action (ultimately held by private equity fund Argos Soditic) on a simplified tender offer targeting the delisting of Efeso Consulting Group, a global management consultancy firm, from Alternext.
• Advised private equity fund Eurazeo on its acquisition of Nova GRAPE Hospitality Group, a group of hotel properties and businesses held by Accor and other real estate investment funds.
• Advised a group of individuals on the sale of a 28,000 square meters building of offices and retail located in the heart of Paris to Norges Bank Investment management (NBIM).
• Advised Denis Dumont, the founder of the French Food retail store group Prosol (Grand Frais) on the restructuring of its shareholding and the entry of new investors Sagard and SIGEFI P.E. (groupe Siparex), along with Abénex Capital and Five Arrows.
• Advised private equity fund Quilvest, along with BPIFRANCE Investissement and the managers, on their acquisition of Sogetrel, a telecom networks integrator, from Equistone Partners, Idinvest partners, Ardian (Private Debt), and Capzanine.
• Advised private equity fund LBO France on its acquisition of groupe RG Safety from Abenex.
• Advised private equity fund Parquest Capital on the acquisition from Butler Capital partners of a majority stake in Acces Industrie, a company specialized in lifting equipment, completed by a public tender offer for the remaining shares.
• Advised private equity fund Chequers Capital on the acquisition of Groupe ECT, a recycling and waste management company.
• Advised private equity fund Eurazeo on the acquisition of a portfolio of hotels from Accor group and other real estate private equity funds, with regard to the corporate, structuring and financial aspects of the deal.
• Advised Groupe C2S (and its majority shareholder, private equity fund Bridgepoint) on the acquisition of Groupe Avenir Santé, with regard to the corporate, structuring and financing aspects of the transaction.
• Advised private equity fund Activa Capital on the acquisition of a majority stake in the cycling equipment manufacturer Look Cycle with regard to the corporate, financing and structuring aspects of the transaction.
• Advised private equity fund Argos Soditic in the context of a delisting, on the refinancing of Efeso Consulting Group, with regard to the financing and corporate aspects of the transaction.
• Advised private equity fund Bridgepoint on the acquisition of Anaveo, one of the main French provider of electronic solutions for surveillance and security, with regard to the corporate, structuring and financial aspects of the transaction.
• Advised L Capital on the refinancing of Captain Invest group, the European leader of ready-to-wear direct sales, with regard to the finance and corporate aspects of the transaction.
• Advised Prosol (Grand Frais), a food retail chain, and its founder on the acquisition of a minority stake by Sagard alongside Siparex, with regard to the corporate, structuring and financial (Senior and PIK) aspects of the transaction.
• Advised Alpha Private Equity on its acquisition of Feu Vert, a French car repair retail group, with regard to the corporate, structuring and financial aspects of the transaction.
• Advised private equity fund Quilvest Private Equity, along with BpiFrance Investissement and the managers, on the acquisition of Sogetrel, a telecom networks integrator, with regard to the corporate, structuring and financing (Senior and Mezzanine) aspects of the transaction.
• Advised private equity fund Argos Soditic on the sale to Enaex of Davey Bickford Group, a manufacturer of pyrotechnic products.
• Advised private equity fund L Capital on its acquisition of a 50% stake in Ba&sh, a French ready-to-wear brand, from its founders, with regard to the corporate, structuring and finance (unitranche financing) aspects of the transaction.
• Advised private equity fund LBO France on the acquisition of ready-to-wear brand IKKS, with regard to the corporate, structuring and financial (super senior RCF financing) aspects of the transaction.
• Advised private equity fund Sagard on its equity investment in high-end pastries producer Délice des 7 Vallées.
• Advised listed private equity fund Eurazeo on the initial public offering of its subsidiary Elis, a linen and workwear rental and maintenance specialist, with regard to the corporate, structuring and financial aspects of the transaction.
• Advised private equity fund Parquest Capital on the acquisition of the equipment manufacturer Caillau, with regard to the corporate, structuring and financing (Senior and Mezzanine) aspects of the transaction.
• Advised property administrator Foncia on its debt restructuring (including the extension of maturities of existing bank facilities from one to two years and the implementation of two credit lines, i.e., a €190 M term loan and a €80 M capex loan) and on the repayment of its sponsor, amounting to €195 M, with regard to the corporate, structuring and finance aspects (senior financing) of the deal.
• Advised private equity fund Activa Capital on the acquisition of a majority stake in printing company Laulan, with regard to the corporate, structuring and financing of a LBO transaction.
• Advised Buffalo Grill, a restaurant chain, and its main shareholders, Abenex Capital and Nixen Partners, on the refinancing of its LBO acquisition debt.
