Nathan Dodd is a foreign senior consultant in Mayer Brown's Singapore office and is a member of Mayer Brown's Global Projects group. Nathan has more than twenty years of experience on the development and finance side of projects in Asia and also regularly works on Asian investments into the Middle East and Africa. In addition to project finance, he has extensive experience on energy, natural resources and infrastructure M&A. He has worked on a number of award winning transactions, acting on the government, sponsor and lender side. Deal locations include Australia, Bangladesh, Brunei, Cambodia, Gabon, Ghana, India, Indonesia, Kenya, Mozambique, Myanmar, Oman, Pakistan, Philippines, Sierra Leone, Singapore, Sri Lanka, Thailand, the UAE and Vietnam.
Expérience
Nathan's recent experience includes:
- Representing the lenders on the financing of the 250MW combined-cycle gas-fired power project in Myingyan, Myanmar's first internationally tendered power project.
- Representing the project company on the development and financing of a US$2.2 billion 1,320 MW coal-fired power project and coal importation facility (including an innovative transhipment solution) in Pakistan.
- Represented the lenders, led by IFC, on the US$830 million PAU Ammonia Project in Sulawesi, Indonesia.
- Represented Marubeni Corporation on its indirect acquisition of a 20 percent stake in a Cambodia-based power generation and transmission business owned and operated by Malaysia’s Leader Group.
- Represented the sponsors on all aspects of the development and financing of the Ahlone 121MW combined-cycle gas-fired power project in Yangon, Myanmar.
- Represented an international bidder on its bid with respect to the tender of a combined-cycle gas-fired power project in Myingyan, Myanmar.
- Represented CAT Financial as lender in connection with a mining equipment lease financing for PT Machinery & Equipment (aka Phu Thai Leasing) for the development of the Dong Bac coal mine in Vietnam.
- Represented one of the participating banks in the syndication of the US$1.2bn senior facility and US$1.2bn subordinated facility for the US$32bn Ichthys LNG project in Australia including due diligence on the financing documentation and negotiation of amendments to the underlying facilities. This was one of the biggest syndicated facilities in the Asia Pacific region outside Japan in 2013.
- Represented the Filipino and European sponsors on the refinancing of a 210MW power plant in the Philippines including a US$160 million prepayment and US$80 million new financing. Nathan has acted on this project since 2000 drafting the original coal supply and EPC contracts and advising on the PPA amendments and original multi-sourced financing. More recently he also advised on new coal procurement and freight contracts.
- Represented the Chinese banks and international commercial lenders on the financing of the 1,320MW Jhajjar coal-fired IPP in India (Project Finance International’s Indian Deal of the Year 2011) the first international commercial bank financing of a power project in India for more than a decade.
- Represented the Chinese lender to one of the bidders for the Central Java 2,000MW IPP in Indonesia, including a detailed risk review on the PPA and guarantee structure.
- Represented the Singaporean and Indian sponsors on the development of a US$1 billion urea and ammonia plant in the Gabon, including leading the negotiations on the EPC contract.
- Represented the Malaysian and international sponsors of an approximately US$1 billion aluminium smelter development in Sarawak, Malaysia.
- Represented the lenders on two related financings of US$370 million for the expansion of two major existing coal mines in Kalimantan, Indonesia through the financing of conveyors, crushers, stackers and reclaimers, a captive power plant and other assets.
- Represented a Korean consortium on its bid for the CHP5 project, a combined heat and power development in Mongolia. This will be the first IPP in Mongolia and the suite of project documents including PPA, concession agreement and coal supply agreement is untested.
- Represented a Malaysian power company on its 60 percent investment into three wind-farm projects in Pakistan totalling 600MW. These projects will be the first to proceed in Pakistan under the fixed tariff regime.
- Represented a PRC SOE on its US$1.5 billion investment into an iron ore mine (being developed on a greenfield basis) in Sierra Leone, including negotiating the complex ore-offtake contract between the project company and the PRC SOE.
- Represented the sponsors on the development of the Vinh Tan III 2,000MW coal-fired IPP in Vietnam (including advice on the PPA, BOT, GGU, EPC and coal supply contracts).
- Represented the sponsors on the approximately US$1 billion development of an integrated coal mine, rail and port development in Kalimantan, Indonesia.
- PPP, Singapore: Nathan has worked on three of the most significant PPP projects to have closed in Singapore (the most developed PPP market in Asia excluding Japan and the Pacific): the SportsHub PPP, the ITE West PPP, and the Hyflux desalination project.
- IPPs Pakistan: Nathan has extensive experience of the Pakistan power sector, having spent eighteen months from 2005 advising on the tender of three gas-fired power projects in Pakistan, including redrafting all of the standard documentation for powers projects (PPA, implementation agreement, GGU and gas supply). Since then Nathan has acted on more than five Pakistan IPPs.
