Ryan Silverman is an associate in Mayer Brown’s Houston office and a member of the Global Energy and Corporate & Securities practices. He maintains a broad M&A practice, representing private equity funds, entrepreneurs, management teams, as well as public and private companies in a wide range of transactions, including mergers, acquisitions, joint ventures, reorganizations, and project development. Ryan is also active in global energy infrastructure and New Energies projects, with a focus on low-carbon initiatives, CCS (carbon capture and storage), clean hydrogen, and clean ammonia projects.
Prior to joining Mayer Brown, Ryan served as vice president of a holding company that owned and operated logistics, trucking, commodities, and government contracting entities throughout the United States.
Expérience
- Advising a Major Japanese Energy Conglomerate in an equity investment and offtake transaction in a US $7 billion Blue Hydrogen Production Plant and Clean Ammonia Offtake Terminal in Louisiana, including preparing and negotiating the equity, offtake and key project agreements.
- Advised a privately held oil company on its potential involvement in carbon capture initiatives in the US.
- Represented an independent developer of low-carbon solutions in the acquisition of a portfolio of carbon capture projects located in Louisiana and Texas.
- Represented a publicly traded energy company in its proposed acquisition of subsurface storage space from a Texas landowner.
- Advised and represented the majority shareholder of a medical distribution company in the buyout of the company’s minority shareholders.
- Represented a Fortune 500 industrial supply company in its divestment of a business line of maintenance, repair and operating products.
- Represented Progress Resources USA Ltd., a subsidiary of Petroliam Nasional Berhad (PETRONAS), in connection with its agreement with Equinor Gulf of Mexico LLC to participate with a 30 percent working interest in the Monument Prospect in the US Gulf of Mexico.
- Represented the management team of Wellspring Energy Resources, LLC in its formation and securing an equity commitment from NGP Energy Capital Management, LLC to pursue non-operated oil and gas working interests, operated oil and gas development financings, structured transactions, and other special situations in North America.
