Vincent Sum is a partner of Mayer Brown. He focuses on complex capital markets matters, including structured products, securitisations, derivatives (including equity derivatives, credit derivatives, corporate derivatives, fund derivatives and commodity derivatives), retail and non-retail funds (including SFC approved funds, UCITS and ETFs), secured lending and financing and debt capital markets matters. He advises underwriters, arrangers, portfolio managers, issuers, trustees and institutional investors, and is qualified to practice in Hong Kong, New York, and England and Wales. Vincent has practised in New York for almost 10 years and has also practised in Tokyo and London prior to relocating to Hong Kong.

Expérience

  • Assisted with more than 50 CLOs, CDOs and synthetic transactions, most of which were done when he was practicing in New York and London, acting primarily as counsel to the arrangers/underwriters and issuers, and in some cases as counsel to the trustees.
  • Acted as English law and HK law counsel to JPMorgan as bookrunner, facility agent, security agent, and lender in an ABL (asset-backed lending transaction) in respect of various acquisition financing transactions.

Represented:

  • The trustee and agents in respect of a number of ABS repackaging transactions (including English law governed MTN programmes) where the underlying securities were bonds of a major PRC real estate companies (and subsequently worked on the defaults of such ABS).
  • Hong Kong Asset Management Ltd. as investment manager on various ABS repackaging QDII transactions.
