Overview
Nina Flax maintains a broad corporate practice representing late-stage private and public companies in complex corporate transactions – mergers, equity and asset acquisitions, Section 363 transactions, and domestic and international joint ventures and consortiums. Nina also counsels clients regarding transformational commercial transactions, including intellectual property licenses, co-development agreements, application integration agreements and technology alliance agreements.

- Represented HCLTech in its acquisition of Hewlett-Packard Enterprise’s Communications Technology Group assets, enhancing HCLTech’s capabilities in telecommunications and 5G technology solutions.
- Represented the executive team of Recorded Future, the world’s largest independent intelligence business, in their acquisition by Mastercard.
- Represented Opendoor in connection with its partnership with Zillow to allow home sellers on the Zillow platform to seamlessly request an Opendoor offer to sell their home. Also represented Opendoor in its investment in Title Resources Group, one of the nation's leading title insurance underwriters, and its acquisition of OS National, a national title and escrow company.
- Represented Cognizant in its acquisition of Devbridge, a software consultancy and product development company, expanding Cognizant’s global delivery footprint in Lithuania, Poland, United States, United Kingdom and Canada. Also represented Cognizant in its acquisition of AustinCSI, a digital transformation consultancy specializing in enterprise cloud and data analytics advisory services, and in its sale of Mustache, an integrated content agency, to DJE Holdings.
