Mayer Brown advises Vabel and Naxicap Partners on the acquisition of Sarbec Cosmectics

Paris — Mayer Brown advised Vabel Group and Naxicap Partners, its majority shareholder, in the financing of the acquisition of Sarbec Cosmetics by Vabel Group.
Founded in 1974, Sarbec Cosmetics has been developed, in France and globally - with around ten subsidiaries, in the manufacturing and distribution of cosmetics products. Two key levers of the company’s development are : a CDMO expertise benefiting its major cosmetics brands and the development of its own brands and prestigious licenses such as Corinne de Farme, Jacomo, Disney, Brumisateur Evian.
With its acquisition of 100% of Sarbec Cosmetics, Vabel Group strengthens its position as a leading European player in the cosmetics sector.
All shareholders reinvested in the transaction, with the remainder of the financing provided by Eurazeo via unitranche debt.
This is Vabel Group’s second acquisition since Naxicap Partners became shareholder in 2021, having acquired CCSP Parfums at the end of 2021. Mayer Brown was involved on all the transactions mentioned.
