Melissa L. Kilcoyne

Melissa Kilcoyne is a partner in the Banking and Finance practice. She has extensive experience structuring complex securitization and other financing transactions across a wide variety of asset classes, including retail auto loans and leases, dealer floorplan loans, student loans, credit card receivables, solar assets, device payment plan agreements, litigation funding agreements, and other new and esoteric asset classes.

Issuers, sponsors, underwriters and initial purchasers receive Melissa’s counsel on public and private asset-backed securitizations, including guiding them through the Securities and Exchange Commission shelf-registration process. She also helps borrowers and lenders establish asset-backed debt financing facilities.

In addition, Melissa regularly advises participants in the structured finance markets in connection with regulatory developments and reforms such as the Dodd-Frank Wall Street Reform and Consumer Protection Act, the FDIC’s Safe Harbor Rule, Rules 17g-5 and 15G of the Securities Exchange Act and amendments to Regulation AB and Regulation S-K.
