Michelle M. Stasny

Clients seek counsel from Michelle Stasny for a variety of public and private securitizations and other structured finance transactions, as well as for advice on compliance with securities laws, rules and regulations.

Clients leverage her experience from nearly a decade at the US Securities and Exchange Commission (SEC) in the Office of Structured Finance where she drafted rules and regulations related to asset-backed securities, worked with registrants to comply with disclosure requirements, provided interpretive guidance, reviewed and commented on asset-backed securities registration statements, 10-Ks and 10-Ds, and consulted with members of other offices and divisions at the SEC on asset-backed securities issues.

• Part of the team that drafted the 2014 Nationally Recognized Statistical Rating Organizations adopting release, and in particular, Rule 15Ga-2, as well as the team that drafted the Regulation AB2 adopting release. Then worked with registrants to comply with the new Regulation AB2 disclosure requirements prior to the rules' effective dates as part of the Reg AB2 pilot program. Michelle also provided interpretive guidance to registrants, including staff guidance that was posted on the SEC's website.
