• Banorte regarding certain general rules pertaining to international factoring and its applicability in Mexico.
• Goldman Sachs Bank USA as administrative agent and arranger in the revolving credit facility to Kavak® through a warehouse financing mechanism involving the assignment and reversion of vehicles through the use of a Mexican Trust. Mayer Brown had to develop a legal mechanism that would allow for the continuous assignment and reversion of vehicles in order to (i) maintain the borrowing base, and (ii) permit Kavak to continue with their ordinary course of business. This matter was particularly complex and important given that the assets granted as collateral are non-fungible and there are certain particularities to the transfer of title of vehicles in the Mexican market. Kavak® is a leading company in the purchase and sale of used cars in Latin America. Kavak® is considered the first Mexican "unicorn". Value: MXN 2 billion.
• Goldman Sachs Bank USA on the whole loans purchase transaction to Mercado Lending (Mercado Crédito®), the fintech unit of Mercado Libre®. The complexity of this matter lay on the acquisition vehicle, which was structured in the form of a Trust by means of which the receivables derived from the underlying loan agreements will be contributed through factoring agreements; in addition to the distribution of the collection flows associated with originator’s electronic payment fund mechanism to the Trust accounts. Value: USD 60 million.
• BNP Paribas New York Branch in connection with a non-possessory pledge agreement over inventory (computer equipment, different gadgets and other hardware and software) located and stored in Mexico. The pledge secures both a senior and junior uncommitted revolving credit facilities granted by BNP Paribas to a certain Delaware limited partnership. Collateral is subject to IMMEX program and other customs regulations. Value: USD 292 million.
• Goldman Sachs Bank USA as administrative agent and arranger in the warehouse financing of a senior secured revolving credit facility to Mercado Lending (Mercado Crédito®). Mercado Crédito is the fintech unit of Mercado Libre®, providing credit to both its parent company's customers and users of its online payment platform, Mercado Pago®. Value: MXN 5 billion.
• AM Partners and AMF Mezzanine México (Alloy Merchant Finance) as lenders, in the structured financing (warehouse financing) to that certain Mexican commercial entity, as originator, guarantor and portfolio asset servicer. The collateral consists of credit rights derived from pure lease agreements on transportation (automotive) equipment (including the underlying promissory notes) and secured by a non-possessory pledge agreement. Value: MXN 250 million.
• That certain Mexican fintech company in the review and negotiation of financial derivative master agreements in over-the-counter (OTC) markets, entered into with a Mexican bank and a French financial institution, along with the respective credit support agreements.
• AM Partners and AMF Mezzanine México (Alloy Merchant Finance) as lenders, in the structured financing (warehouse financing) to that certain Mexican financial entity, as originator, guarantor and portfolio asset servicer, The collateral consists of credit rights derived from group, payroll, and directed (domiciled) loan agreements (including the underlying promissory notes) granted by the borrower to pensioners and retirees. Value: MXN 225 million.
• Alloy Merchant Finance LLC as borrower, AMF Mezzanine Mexico as originator, guarantor and portfolio asset servicer and Alloy MF Gestión as guarantor (Alloy Merchant Finance), in a loan and servicing agreement granted by Victory Park Capital. Alloy will use the loan to offer structured financial loans in Mexico. Value: USD 100 million.
• CLSPIII Fund, as lender, in a loan granted to a leading company in the distilled beverage business. The facility was secured by a pledge of shares and included a promissory note. Value: USD 4 million.
• Grupo Casa Lumbre and its current shareholders in a capital investment made by different Mexican and foreign investors through (i) the acquisition of certain investors of a significant minority equity participation in a holding company; and (ii) an Investment, Management and Business Activities Trust entered by a Casa Lumbre entity, as General Partner, Banco Actinver, as trustee, and other investors, as Limited Partners. Casa Lumbre is a leading company in the spirits industry and the funds contributed to the holding company and the trust will be used by Grupo Casa Lumbre as investment in different spirits beverage projects and companies. Value: USD 75 million.
• L Catterton in the acquisition of a 32% equity interest in Crediclub. The closing of the transaction is subject to the approvals of the National Banking and Securities Commission and the antitrust agency in Mexico.
• Certain shareholders of Grupo Casa Lumbre in the acquisition of certain shares of Grupo Rosaguin, a company in the spirits beverage industry.
• Licores y Destilados Gran Malo, producer and distributor of Licor Gran Malo®, and its existing shareholders in the acquisition by Productos Finos de Agave of a minority stake in the company.
• Goldman Sachs Bank USA in the whole loans purchase to Red Amigo DAL (Konfío), a Mexican financial services company (Fintech) for small and medium-sized companies. Value: USD 50 million.
• Goldman Sachs Bank USA as administrative agent and arranger in the warehouse financing of a Senior Secured Revolving Credit Facility to Red Amigo DAL (Konfío). Konfío is a Mexican lead financial services company (Fintech), granting small and medium-sized loans and providing credit cards to its customers.
• Banco Santander, S.A. (Spain) in the factoring agreement entered with a leading telecommunications company.
• MUFG Bank, LTD, in the risk assessment due diligence for receivables factoring transactions in México, delimiting the applicable national regulatory framework.
• Bulkmatic de México as borrower in a syndicated loan, the proceeds of which were used for working capital and refinancing. Value: USD 93.5 million.
• Goldman Sachs International Bank in the due diligence related with a Secured Loan granted to NuBn Servicios Mexico (NuBank Mexico) as borrower and other affiliates as guarantors. The Credit Agreement is governed under New York law and include Mexican promissory notes. Value: USD 25 million.
• Goldman Sachs Bank USA in the due diligence for the financial services regulatory compliance assessment under Mexican law of PayClip, a company part of the payment processing network (Redes de Medios de Disposición) in Mexico. This activity includes the agreements, protocols, instruments, interfaces, rules, systems, infrastructure and other related elements that are jointly regulated by the National Banking and Securities Commission (Comisión Nacional Bancaria y de Valores) and the Mexican Central Bank (Banco de México).
• Scotiabank, as lender, in a senior loan granted to MXT Tucan Towers. The funds will be used for the acquisition by the borrower of telecommunication towers in Mexico. Value : MXN 400 million.
• Ryan Specialty Group on the update of administrative measures undertaken by the National Insurance and Bonding Commission (Comisión Nacional de Seguros y Fianzas) derived from COVID-19 ("Covid-19 International Insurance Regulatory Actions").
