Clients turn to Jason Kirschner for advice on complex commercial and bankruptcy litigation matters before state and federal trial and appellate courts. He has significant experience representing financial institutions and other companies in lender liability, securities fraud, common law fraud, and breach of contract actions, including actions pertaining to the sale of RMBS and other complex financial products; and his securities fraud experience includes claims based on Sections 10(b), 11, and 12, "blue sky" laws, and insider trading. While the majority of Jason’s engagements are on the defense side—where he has secured the dismissal of fraud and other claims seeking billions of dollars—he has also obtained substantial judgments for his clients in connection with veil-piercing, fraudulent transfer, breach of contract, and foreign judgment enforcement claims.

Jason's experience also includes international arbitrations, class actions, corporate governance and shareholder disputes, intellectual property disputes, and insurance disputes. In addition, as a former software engineer and member of Mayer Brown's Electronic Discovery & Information Governance practice, Jason leverages his knowledge of technology to advise companies on electronic discovery and records management issues.

Jason's clients have included leading financial services and technology companies, such as Google, HSBC, Invesco, Morgan Stanley, Scotiabank, Sumitomo Mitsui Banking Corporation, Spotify and YouTube.

Securities Litigation

Represented:

HSBC in defense and settlement of over $1.5 billion in securities law claims relating to the sale of RMBS.
International bank in defense and settlement of common law fraud case relating to offering of $2.5 billion CDO.
International bank in defense and settlement of "blue sky" securities law claims relating to the sale of RMBS.
International financial institution in defense and settlement of $270 million claim under the New Mexico Fraud Against Taxpayers Act relating to the sale of CDOs.

Banking and Finance Litigation

Obtained:

The dismissal of lender liability claims against Sumitomo Mitsui Banking Corporation, one of several syndicate lenders in a $2 billion credit facility related to the construction of a massive resort and casino complex in Las Vegas.
A $50 million judgment in favor of Morgan Stanley and Invesco in connection with veil-piercing and fraudulent conveyance claims against resort developer following two week trial.
A $60 million judgment in favor of Scotiabank in connection with claim for breach of a guarantee agreement.
A $15 million judgment in favor of Korea Resolution and Collection Corporation in foreign judgment enforcement action.
The dismissal of a $2.8 billion common law fraud claim against the Bank of Nova Scotia.
The dismissal of claims for breach of contract and injunctive relief against international bank acting as CDO trustee.
The dismissal of fraud and related claims in an arbitration featuring a novel theory of liability against a SPAC.

Complex Commercial Litigation

Obtained summary judgment for YouTube and its parent Google in a billion-dollar copyright infringement suit brought by Viacom and other parties.
Represented Spotify in connection with the settlement of a copyright class action on behalf of a putative class of music composers who alleged that their compositions were made available without proper licenses.
Secured denial of class certification in putative class action alleging consumer fraud against international telecommunications company.
